Pre-Call Non-Disclosure Agreement

This Pre-Call Non-Disclosure Agreement (“Agreement”) governs the exchange of confidential information between Miler R&D (“Company”) and any individual or entity (“Recipient”) who contacts the Company via its website https://milerdrnd.com for the purpose of discussing a potential collaboration.

By submitting an inquiry, scheduling a call, or participating in any meeting with the Company, you agree to be bound by this Agreement.

Purpose

The purpose of this Agreement is to allow preliminary discussions regarding potential research, development, engineering, and manufacturing services (the “Purpose”).

Confidential Information

“Confidential Information” includes any non-public information disclosed orally, visually, or in writing, including but not limited to:

product concepts, specifications, sketches, designs
technical descriptions, requirements, or prototypes
business plans, pricing expectations, timelines

Exclusions

Confidential Information does not include information that:

is publicly available without breach of this Agreement
was lawfully known prior to disclosure
is independently developed without reference to Confidential Information
must be disclosed by law or court order

Confidentiality Obligations

The Recipient agrees to:

use Confidential Information solely for the Purpose
not disclose it to any third party
take reasonable measures to protect it

No Obligation to Proceed

Nothing in this Agreement obligates either party to enter into a further agreement or proceed with a project.

Intellectual Property

All Confidential Information remains the property of the disclosing party.
No license or ownership rights are granted under this Agreement.

Governing Law

This Agreement is governed by the laws of the United Arab Emirates.
Any disputes shall be resolved by arbitration in the UAE.
